Paramount has settled with the 12 state attorneys general suing to block its acquisition of Warner Bros. Discovery, the company that carries AEW on TBS, TNT and HBO Max.

Bloomberg first reported the settlement Monday morning, followed by the Wall Street Journal, and Variety confirmed it with a source. The agreement came days before Paramount was to begin accruing a $7 million daily ticking fee to WBD shareholders on October 1. Full terms haven't been made public; an official announcement is expected later Monday.

Per Variety, the terms focused on Paramount's commitments to remain in California, guarantees on production levels, and editorial oversight of CBS News and CNN. Sources told Variety the settlement does not require any major divestitures.

Tony Khan has said for months he wants this deal to close. At the Double or Nothing press conference: "I'm very excited about who the buyer is. It's very, very good for us. I think it's fantastic to have David Ellison coming in here. He's been a fantastic leader. I've worked with him in the NFL and Skydance." On Bloomberg TV, asked whether Paramount would stick with AEW after the merger: "100%."

AEW's deal with WBD runs through the end of 2027 with a WBD option for one more year. WBD's minority stake in AEW transfers to Paramount.
