SpaceX (NASDAQ: SPCX) has officially agreed to acquire Anysphere, the company behind the popular AI coding tool Cursor, in an all-stock deal valued at an implied equity value of $60 billion, according to an SEC Form 8-K filed on June 16, 2026. Under the agreement, SpaceX subsidiary X67 Inc. will merge with Cursor, which will survive as a wholly owned subsidiary of SpaceX. The exchange ratio is based on Cursor's $60 billion implied equity value and the volume-weighted average closing price of SpaceX Class A shares over the seven trading days before closing. The transaction is expected to close in the third quarter of 2026, subject to regulatory approval. The deal converts an April 2026 option agreement under which SpaceX could either acquire Cursor for $60 billion in stock or pay a $10 billion break-up fee.
